PagoPA: Istituto Poligrafico e Zecca dello Stato (IPZS) and Poste Italiane Exercise Their Options to Acquire the Entire Shareholding from the Ministry of Economy and Finance
Rome, December 19, 2025 – Today, Istituto Poligrafico e Zecca dello Stato S.p.A. (IPZS) exercised the option rights granted under Article 20 of Decree Law No. 19 of March 2, 2024 (Law No. 56/2024, the so-called "PNRR Decree"), to acquire from the Ministry of Economy and Finance (MEF) the entire share capital of PagoPA S.p.A. Poste Italiane S.p.A. (Poste) also exercised its option rights.
The option exercised by IPZS concerns the controlling stake equal to 51% of PagoPA’s share capital, while the option exercised by Poste concerns the remaining 49%.
Completion of the transaction is subject to obtaining the necessary approvals from the competent authorities.
The consideration for the acquisition of the shareholdings amounts to approximately €500 million and includes a fixed component as well as deferred and variable components.
The acquisition of PagoPA represents a strategic investment for IPZS, aimed at enhancing the efficiency and simplification of public digital services, from digital identity to payments, while supporting the development of the IT-Wallet System, coordinated by the Department for Digital Transformation. IT-Wallet is the technological solution through which the Italian State enables citizens to store, access, and use digital documents, certificates, and credentials on their smartphones. It will provide a secure, accessible, and legally recognized digital alternative to traditional physical documents, in line with the European framework for the European Digital Identity Wallet.
