POSTE ITALIANE AND ISTITUTO POLIGRAFICO E ZECCA DELLO STATO COMPLETE THE ACQUISITION OF PAGOPA’S SHARE CAPITAL

Istituto Poligrafico e Zecca dello Stato S.p.A. ("Istituto Poligrafico e Zecca dello Stato" or "IPZS") and Poste Italiane S.p.A. ("Poste Italiane") have completed the acquisition of PagoPA S.p.A. ("PagoPA"), holding 51% and 49% of the company’s share capital, respectively.

Istituto Poligrafico e Zecca dello Stato S.p.A. and Poste Italiane S.p.A. have completed the acquisition of the share capital of PagoPA S.p.A., holding 51% and 49% respectively.

On July 28, the Italian Competition Authority (Autorità Garante della Concorrenza e del Mercato), following notification submitted pursuant to the regulations governing merger control between undertakings, resolved to authorize the transaction and not to initiate formal proceedings.

The transaction follows the announcement made to the market on December 19, 2025, when the companies accepted the offer received from the Ministry of Economy and Finance, exercising, in accordance with the provisions of Legislative Decree No. 19/2024, converted with amendments into Law No. 56 of April 29, 2024, the purchase option relating to the acquisition of the share capital of PagoPA.

Accordingly, following the fulfilment of all the conditions precedent, the transaction was completed today.

The total consideration for the acquisition of the shareholdings amounts to a maximum of approximately €500 million, consisting of a fixed component and certain deferred and variable components.

At the same time, pursuant to the aforementioned legislation, Istituto Poligrafico e Zecca dello Stato, as the majority shareholder, will exercise sole control over PagoPA.
